Nemetschek plans to acquire a controlling stake in Graphisoft

Munich, December 21, 2006 – Nemetschek AG has reached an agreement with the shareholders of the Hungarian company Graphisoft SE. This agreement allows Nemetschek to acquire a controlling stake in Graphisoft at a price of 9 EUR per share. Gerhard Weiß, CEO of Nemetschek AG, announced that the aim of this acquisition is to obtain a strategic financial stake in the Hungarian competitor Graphisoft. Nemetschek plans to take the opportunity to acquire a controlling interest in Graphisoft shortly after the successful completion of the usual due diligence and agreement on the financing of the acquisition.

Graphisoft SE is headquartered in Budapest and specializes in software solutions for architectural design. The company was founded in 1982 and today has 260 employees with branches in Hungary, Germany, the USA, Japan, the UK, Spain, and Finland. The company's software is used by more than 100,000 customers in 82 countries around the world. Graphisoft, listed on the Budapest Stock Exchange, achieved revenues of 27 million euros in 2006.

Nemetschek, headquartered in Munich, is the only global supplier of IT solutions that deals with both architectural design and the management of construction and managerial processes. The product range offers solutions from architectural design to construction and property management. The software is used by more than 170,000 customers in 142 countries worldwide and is offered in 16 language versions. In the fiscal year 2005, the group achieved revenues of 99 million euros.
